PolygonLogix Lite Terms of Service

PolygonLogix LLC ("PolygonLogix", "we", "our" or "us") provides PolygonLogix™ Lite, a subscription web application at polygonlogix.online (the "Service"). These Terms of Service (the "Terms") form a binding agreement between us and you, whether you use the Service as an individual or on behalf of a business. If you are accepting on behalf of a business, you represent that you have authority to bind it. By starting a free trial, subscribing or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Our desktop products (PolygonLogix Standard and Pro) are licensed separately under the End User License Agreement, and use of polygonlogix.com is governed by the website Terms of Service. These Terms govern the Service only.
1. The Service
The Service imports DXF and DWG part files, nests them on sheets, estimates cutting and material costs, and produces quotes and reports for your internal business purposes. Prices, cut times, nests and reports it produces are estimates calculated from the machines, materials, rates and settings you enter. They are not an offer, a quotation or engineering advice, and you are responsible for reviewing every quote, nest and exported file before relying on it or sending it to a customer.
2. Accounts and Access
We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business purposes for as long as your subscription is active. You sign in with your e-mail address and a password. New shops receive a temporary password by e-mail that expires if unused and must be replaced at first sign-in. You are responsible for keeping your password and your e-mail account secure and for all activity in your shop, and you must tell us promptly at [email protected] if you believe your account has been used without permission. One subscription is for one shop; do not share credentials outside it.
3. Free Trial, Subscriptions and Billing
New subscriptions begin with a 7-day free trial. A payment card is required to start the trial, and the card is charged when the trial ends unless you cancel before then. Subscriptions renew automatically — monthly plans each month and annual plans each year — at the then-current price, until canceled. You may change plans or cancel at any time from Help > Manage Subscription; cancellation takes effect at the end of the current trial or paid period, and access continues until then.
Payments are processed by Stripe, Inc. We do not receive or store your full card details. If a payment fails, the Service continues for a 7-day grace period; after that, pricing, quote reports, saving quotes, AI Parse and import are paused until a payment succeeds, while your data remains in your account. Prices may change on at least 30 days' notice before the change applies to your next renewal. You are responsible for any taxes that apply to your purchase. Refunds are described in the Refund Policy, which forms part of these Terms.
4. Plan Limits and Fair Use
Each plan includes a stated number of saved quotes and AI Parse runs per calendar month, shown on the pricing page, in Help > Account... and in the welcome e-mail. We may also apply reasonable operational limits, including file size, file count, part and sheet counts, processing time and request rate, to keep the Service available to everyone. Limits may change on notice; we will not reduce the limits of a plan you have already paid for during that paid period.
5. Your Data
Part files, quotes, customer records, machine and material settings and other content you put into the Service remain yours. You grant us a limited licence to host, process, transmit and display that content solely to provide, secure and support the Service. Uploaded part files are deleted as soon as they are read; other working files that are not part of a saved quote are deleted after at most 30 days. Saved quotes and settings are kept while your account exists. You can export everything at any time (File > Export for PolygonLogix Desktop, or Account > Download My Data), and Account > Delete My Account cancels your subscription and permanently deletes your shop and its contents. You are responsible for keeping your own copies of anything you need; the Service is not a backup service. The Privacy Policy describes how we handle personal information.
6. AI Parse
AI Parse sends the text and images of the documents you select, together with your material list, to OpenAI, L.L.C., so that part numbers, quantities, materials and thicknesses can be extracted. If we change AI provider we will update the Privacy Policy before the change takes effect. Do not use AI Parse for material you are not permitted to disclose to OpenAI. AI output is frequently imperfect; review every parsed line before quoting. We are not responsible for the accuracy of AI output or for decisions made from it.
7. Acceptable Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to: access or attempt to access another shop's data or any part of the Service you are not authorised to use; interfere with or disrupt the Service, its servers or networks; introduce malware; probe or test the security of the Service without our prior written consent; use robots, scrapers, text or data mining tools, or automated means to extract data from the Service, including for training machine learning or artificial intelligence systems; resell, rent, sublicense or run the Service as a service bureau for third parties; reverse engineer the Service; use it to build or benchmark a competing product; or upload files or documents you do not have the right to use. We may suspend or terminate access for violations.
8. Intellectual Property
The Service, its software, appearance, documentation and all related intellectual property are owned by PolygonLogix LLC and protected by United States and international copyright, trademark and other laws. Except for the limited access right in Section 2, no rights are granted to you. "PolygonLogix" and the PolygonLogix logo are trademarks of PolygonLogix LLC and may not be used without our prior written consent. Third-party components included in the Service are listed with their notices on the Third Party Licenses page. If you send us feedback or suggestions, we may use them without restriction or compensation.
9. Third-Party Services
The Service relies on third parties, including Stripe for payments, our hosting and e-mail providers, and the AI provider named in Section 6; the Privacy Policy lists them. Their own terms and privacy policies apply to their services. We are not responsible for third-party websites or services linked from the Service, or for their content, accuracy, security or practices, and you access them at your own risk.
10. Service Availability and Changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and we may modify, suspend or discontinue features at any time, with or without notice. If we discontinue the Service as a whole, we will give at least 30 days' notice to the e-mail address on your account and refund the unused portion of any period you have prepaid.
11. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL QUOTES, NESTS, REPORTS AND OTHER OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that any output will be accurate, complete or reliable.
12. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, scrapped or re-cut material, or business interruption, arising out of or relating to the Service, even if we have been advised that such damages are possible. Our total liability for all claims relating to the Service in any twelve-month period is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. You are responsible for verifying quotes and nests before cutting or committing to a price.
13. Suspension and Termination
You may stop using the Service and cancel at any time. We may suspend access immediately where necessary to protect the Service, its data or another customer, and we may terminate your subscription for a material breach of these Terms that is not cured within 10 days of written notice. After termination or closure you may export your data for 30 days, after which it is deleted. Sections 5 and 8 through 17 survive termination.
14. Privacy
Your use of the Service is subject to the Privacy Policy, which explains what personal information we collect, how it is used and shared, and how long it is kept.
15. Governing Law and Venue
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the Court of Common Pleas of Lancaster County, Pennsylvania, or the United States District Court for the Eastern District of Pennsylvania, and the parties consent to personal jurisdiction there.
16. Changes to These Terms
We may update these Terms. Changes take effect when posted here with a new "Last updated" date; for material changes we will e-mail the account owner before they take effect. Continued use of the Service after that constitutes acceptance.
17. Miscellaneous
If any provision is held unenforceable, the rest remains in effect. These Terms, together with the Refund Policy and Privacy Policy, are the entire agreement between us about the Service and supersede prior understandings about it. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Nothing here creates a partnership, joint venture or employment relationship.
